This website, currently available at https://gix-internet.com (or such other URL as we may designate from time to time) (the “Website” or “Site”), is operated by Gix Internet Ltd., an Israeli company (“Gix”, “we”, “us” or “our”).

The Use of the Site for any purpose is subject to the following terms of use, as may be amended and/or updated from time to time (the “Terms of Use”). By Using the Site, you acknowledge that you have read, understood and agree to be bound by and comply with these Terms of Use. If you do not agree to them, whether in whole or in part, you must not Use the Site.

Definitions. “Content” means all information, materials, features and other content of any kind made available through the Website, including data, text, articles, images, illustrations, graphics, logos, trademarks, designs, layouts, software, code, links, and the selection, arrangement and compilation of any of it, whether owned by us or by a third party that granted us the right to use it. “Use” means to access, view, visit, browse, interact with, download from or otherwise use the Website or any part of it for any purpose, and grammatical variations have the corresponding meaning. “User” or “you” means any individual or entity that Uses the Website. “Personal Data” has the meaning given in our Privacy Policy.

Not an offer, and not advice

Gix Internet Ltd. is a publicly listed company. Its ordinary shares trade on the Nasdaq Capital Market under GIXI and on the Tel Aviv Stock Exchange under GIX.

The Website is provided for information only. Nothing on it is an offer to sell, or a solicitation of an offer to buy, any security, and nothing on it is a prospectus. Nothing on the Website is investment, financial, legal, tax or accounting advice, and it does not take account of your circumstances. Any offering of securities would be made only by means of a prospectus or offering document filed with the relevant authority.

The Website contains forward-looking statements about strategy, markets, acquisitions and future performance. Those rest on assumptions that may prove wrong, and actual results may differ materially. Grant of licence, limitations of use

The Website provides general information about Gix Internet Ltd., including its strategy, operating business and business activities. The Website and its Content are owned by Gix Internet Ltd. or licensed to it, and are protected by copyright, trademark and other laws. Nothing in these Terms of Use transfers any right, title or interest in the Website or its Content to you.

Third-party names, marks and logos that appear on the Website — including those of our subsidiary, of companies in which we hold an interest, of exchanges and of regulators — remain the property of their respective owners and are used for identification only. Their appearance does not imply any endorsement, sponsorship or commercial relationship beyond what the Website expressly states.

No warranties, disclaimers, limitation of liability

The Website and its Content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Website will be uninterrupted, timely, secure or error-free, or that the Content is accurate, complete or current.

Third-party links

The Website contains links to sites we do not operate, including our investor relations pages hosted by a third-party provider, exchange and regulator websites, and the websites of our subsidiary and of companies in which we hold an interest. We provide those links for convenience. We do not control those sites, we are not responsible for their content, availability, accuracy or practices, and a link is not an endorsement. Your use of them is at your own risk and subject to their terms.

Personal data

Our handling of Personal Data in connection with the Website is described in our Privacy Policy, which forms part of these Terms of Use.

Miscellaneous

These Terms of Use and the Privacy Policy constitute the entire agreement between you and us governing your Use of the Website, superseding any prior agreements, communications and proposals, whether oral or written, including any prior versions of these Terms of Use. Our failure to exercise or enforce any right or provision is not a waiver of it. Any ambiguity will not be construed against the drafting party.

You agree to indemnify, defend and hold harmless Gix and its partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers and employees from any liability, loss, claim or demand, including reasonable legal fees, made by any third party arising out of (i) your breach of these Terms of Use, (ii) your violation of any law or the rights of a third party, or (iii) your Use of the Website.

If any provision of these Terms of Use is held unlawful, void or unenforceable, it will be enforced to the fullest extent permitted by law and the unenforceable portion severed, without affecting the validity of the remaining provisions.

Unless restricted by applicable law, these Terms of Use are governed by and construed in accordance with the laws of the State of Israel, without giving effect to its conflict of laws principles, and any matter or dispute arising in connection with them or with the Website is subject to the exclusive jurisdiction of the competent courts of Tel Aviv–Jaffa, Israel.
